Corporate Services
“Corporate services” is one of those phrases that appears on every advisory website and explains nothing. It is worth being precise, because the gap between what people think it means and what it actually covers is where compliance problems start.
Corporate services are the functions a company needs in order to exist and stay compliant, as distinct from the things it does to make money. Your product team makes money. Corporate services keep the entity that owns the product legally alive.
In the UAE that generally spans five areas.
Formation, licence issuance, and the annual renewals that follow. Most people think this is the whole of corporate services because it is the part they encounter first. It is the smallest part by ongoing effort.
The licence is not a one-off. It carries renewal dates, activity definitions that must match what you really do, and amendments every time your business changes shape. For company formation and licensing specifically, our group company 3S Business Services handles this end to end.
The unglamorous layer: registers of shareholders and directors, board resolutions, share transfers, powers of attorney, and keeping the corporate record straight.
It matters at exactly two moments, and both are expensive. When you raise money and someone runs diligence, and when there is a dispute. In both cases the question is the same: can you evidence who owns what and who authorised what. Companies that have been casual about resolutions discover the cost in the middle of a transaction, when it is too late to reconstruct.
Bookkeeping, financial statements, audit where required, VAT registration and filing, and corporate tax compliance.
The UAE’s introduction of corporate tax changed the character of this work. It used to be possible to treat UAE accounting as a light-touch obligation. That era is over: filings have deadlines, positions need support, and the records behind them need to exist before the deadline rather than after it. Our group company Accurate Accounting works in this area.
Employment contracts, visas and work permits, wage protection compliance, end-of-service calculations, and the HR administration that goes with employing people in the UAE.
This is the area where growing companies most often improvise, because it feels like admin rather than risk. It is risk. Employment obligations in the UAE are specific, and getting a termination or a gratuity calculation wrong is not a paperwork problem, it is a liability. 3S HR Consulting covers this within the group.
The obligations that arrive whether or not anyone in your business is watching for them:
Nobody sends you a reminder for most of these. The penalty for missing them is not a warning letter, it is a fine, and in some cases a licence that cannot be renewed until the position is fixed. Requirements vary by activity, emirate and free zone, so confirm what applies to your specific entity.
They are not strategy, and they are not a substitute for a finance function. A corporate services provider keeps your entity compliant and administratively sound. They do not decide what your business should do, and a good one will tell you so.
Because it is a set of specialisms that no single hire covers, and because the work is lumpy. You do not need a full-time company secretary, a full-time tax specialist and a full-time HR administrator until you are considerably larger than you think. Until then, you need access to all three and a full-time salary for none of them.
The other reason is that mistakes here are asymmetric. Doing corporate services well produces no upside anyone notices. Doing them badly produces fines, blocked renewals and failed diligence. It is a domain where the whole return is in avoiding the downside.
These five areas touch each other constantly. A share transfer has tax consequences. A new activity changes your licence and possibly your substance position. Hiring changes your WPS obligations.
Handled by five unconnected providers, the joins are where things fall through. That is the argument for a group structure: our group of companies covers corporate services, legal, accounting, HR and workspace, so the joins are somebody’s job rather than nobody’s.
3S Group covers corporate services, legal, accounting, HR and workspace across the UAE. Tell us what you are running and we will tell you what is actually required, and what is not.
